SMS Messaging Disclosure

By submitting your phone number, you consent to receive automated SMS messages from Suitebook. Msg & data rates may apply. Message frequency varies. Reply STOP to opt out · Reply HELP for help. We will never share your number with third parties for marketing. See Section 6 for full details.

1. Services

Suitebook provides backend operations automation services including, but not limited to, booking and scheduling automation, client intake and records management, follow-up communication workflows, invoicing automation, task routing, and internal workflow handoffs ("Services"). Suitebook does not provide marketing, advertising, lead generation, or outreach services of any kind.

Services are delivered as described in the applicable service agreement or order form executed between Suitebook and the Client. The scope, timeline, and deliverables for each engagement are defined in writing prior to the commencement of work.

2. Service Plans

Suitebook offers two primary service tiers:

Suitebook Complete (Done-for-You): A full-service engagement including an ops audit, custom system build, ongoing maintenance, and dedicated support. Pricing begins at a one-time setup fee plus a monthly retainer, as quoted in the service agreement.

Suitebook Essentials (Hybrid): A guided setup engagement providing core booking and workflow tooling, an onboarding session, and access to a self-serve dashboard. Pricing begins at a one-time setup fee plus a monthly subscription, as quoted in the service agreement.

Suitebook reserves the right to modify service plan features and pricing with thirty (30) days written notice to existing clients.

3. Payment Terms

Setup fees are due upon execution of the service agreement unless otherwise specified in writing. Monthly retainer and subscription fees are billed in advance on a recurring basis beginning on the go-live date of the Client's system.

All fees are non-refundable unless Suitebook fails to deliver the agreed services within the timeline specified in the service agreement. Invoices unpaid after fifteen (15) days of the due date may incur a late fee of 1.5% per month on the outstanding balance.

Suitebook reserves the right to suspend or terminate services for accounts with outstanding balances exceeding thirty (30) days past due, following written notice to the Client.

4. Client Responsibilities

The Client agrees to:

(a) Provide timely access to all systems, accounts, tools, and information reasonably required by Suitebook to perform the Services;

(b) Designate a point of contact with authority to make decisions regarding the engagement;

(c) Review and provide feedback on deliverables within the timeframes specified in the project timeline;

(d) Ensure that all data provided to Suitebook is accurate, current, and lawfully obtained;

(e) Maintain active subscriptions to any third-party tools required as part of the automation stack, as identified during the ops audit.

Delays caused by the Client's failure to fulfill these responsibilities may extend project timelines without penalty to Suitebook.

5. Data & Privacy

Suitebook will access Client data solely to the extent necessary to perform the Services. Suitebook will not sell, rent, or share Client data with third parties except as required to deliver the Services (e.g., integrating with specified CRM, scheduling, or payment platforms at the Client's direction).

Client data remains the property of the Client at all times. Upon termination of services, Suitebook will provide the Client with a reasonable opportunity to export their data and will delete or de-identify Client data from Suitebook's systems within ninety (90) days of termination.

Suitebook implements commercially reasonable security measures to protect Client data. However, no method of transmission or storage is 100% secure. Suitebook is not liable for unauthorized access resulting from causes outside of its reasonable control.

6. SMS / Text Messaging — A2P Consent & Disclosure

By submitting your phone number via any form on suitebook.net, you expressly consent to receive automated SMS text messages from Suitebook ("Messaging Program"). These messages may include:

• Confirmation of your ops audit inquiry • Follow-up messages regarding your audit request or engagement • Appointment reminders and scheduling notifications • Service updates and account-related notifications

Message frequency varies based on your engagement with Suitebook. You may receive up to 5 messages per inquiry cycle. Msg & data rates may apply.

Consent to receive SMS messages is not a condition of purchasing any services from Suitebook.

TO STOP: Reply STOP to any message at any time to opt out of all SMS communications. You will receive one final confirmation message and will not receive further messages unless you re-opt-in.

FOR HELP: Reply HELP to any message for assistance, or contact us directly at hello@suitebook.net.

Suitebook will not share, sell, or rent your mobile phone number or SMS opt-in data to any third party for marketing or promotional purposes. Your mobile information is used solely to facilitate communications related to your inquiry and engagement with Suitebook.

7. Email Communications

By submitting your email address via any form on suitebook.net, you consent to receive transactional and service-related emails from Suitebook. These may include inquiry confirmations, follow-up correspondence, qualification requests, appointment information, and service updates.

You may opt out of non-transactional emails at any time by clicking the unsubscribe link in any email or by contacting hello@suitebook.net. Transactional emails related to active service agreements may continue until the engagement is terminated.

8. Intellectual Property

All custom automation systems, workflows, configurations, and documentation created by Suitebook specifically for a Client under a paid engagement are the property of the Client upon full payment of all fees due.

Suitebook retains ownership of all underlying methodologies, templates, frameworks, and general-purpose tools developed independently of any specific client engagement. Suitebook may use anonymized, aggregate information about client engagements to improve its services.

Nothing in these Terms grants the Client any rights to Suitebook's brand, trademarks, or proprietary software beyond what is necessary to use the delivered Services.

9. Third-Party Tools & Platforms

Suitebook's Services may involve the configuration and integration of third-party tools, platforms, and services (e.g., scheduling software, CRM systems, payment processors, communication platforms). Suitebook is not responsible for the availability, performance, pricing changes, or terms of service of any third-party platforms.

The Client is responsible for maintaining their own accounts and subscriptions with any third-party tools required for the automation stack. If a third-party platform discontinues a feature or changes its API in a way that affects the Client's system, Suitebook will work with the Client to identify a solution, which may constitute additional billable work.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Suitebook's total liability to the Client for any claim arising from or related to the Services shall not exceed the total fees paid by the Client to Suitebook in the three (3) months preceding the claim.

Suitebook shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if Suitebook has been advised of the possibility of such damages.

Suitebook does not guarantee specific business outcomes, revenue increases, or operational improvements as a result of the Services. Results depend on factors outside Suitebook's control, including the Client's operations, team adoption, and market conditions.

11. Termination

Either party may terminate a monthly service engagement with thirty (30) days written notice. Setup fees and any work completed prior to termination are non-refundable.

Suitebook may terminate services immediately upon written notice if the Client breaches these Terms, fails to pay outstanding invoices after notice, or engages in conduct that Suitebook reasonably determines to be harmful, unlawful, or in violation of these Terms.

Upon termination, the Client's access to any Suitebook-managed tools or dashboards will be suspended. The Client remains responsible for any fees accrued prior to the termination date.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Services shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days.

If the dispute is not resolved through negotiation, the parties agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English in the State of Texas. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

13. Changes to These Terms

Suitebook reserves the right to update these Terms at any time. Material changes will be communicated to active clients via email at least fourteen (14) days before taking effect. Continued use of the Services after the effective date of any changes constitutes acceptance of the updated Terms.

For prospective clients, the version of these Terms in effect at the time of inquiry governs the initial engagement.
